I’ve tried Nostur, still getting used to it. Also heard some chatter about Yakihonne—curious to try it out.

If you try to turn profits in the incubation stage, you inevitably strangle growth and quality suffers.
That's why grants have turned out to be such a problematic model: people usually view them as personal income and spend them on rent and food, rather than seeing them as investment income in a business they are building, that should be reinvested in making that business grow. That's why they slow or stop working, when the grants run out, or they jump to some other project, to collect grant monies for that. They haven't bothered building something that *generates income*, so their economic incentive to continue the effort evaporates.
And that's why they only write code, rather than build infrastructure and processes: you can just drop code and walk away, with no bills, no staff, no contracts, and no further expectations of services delivered.
Slam, bam, thank you ma'am, but make it FOSS.

I mean, if you think about overall resources, rather than merely Bitcoin income, we're one of the biggest projects. The services and hardware adds up to a small fortune, and we have some Bitcoin income, but there's no profit margin because we reinvest everything.

Coding is cheap, in comparison, but it's the only part you can't completely skip and still have software.

So, they cut out architecture, automation, monitoring, testing, and maintenance, and vibe code some ish and then do a victory round and collect the Bitcoins from some useful idiots who haven't figured out that vibe coding has no monetary value because it isn't work.
We actually have one of the biggest budgets, despite hardly any income. Easily pushing over $100k in engineering hours, so far. Building something solid takes time and costs a lot of money. It just does.

“物流地产巨头”ESR的私有化之路又进了一步。
5月21日，ESR（01821.HK）与MEGA BidCo（要约人）联合宣布，计划通过协议安排的方式将ESR私有化，并已就此签署相关协议安排文件。
根据公告，该私有化提案旨在注销所有尚未行使的购股权，并向股东提供现金选择或股份选择，以实现公司的退市目标。
该私有化方案显示，注销代价为，每股协议安排股份的注销代价为现金13.00港元，或选择收取一股 EquityCo 股份。股东可根据自身情况选择全部现金、全部股份或部分现金加部分股份的组合方式。
同时，要约人将注销所有尚未行使的购股权，并向购股权持有人提供基于“透视”基础的现金要约，金额为注销价减去相关行使价。对于尚未行使的奖励，要约人亦将提出注销要约，确保公司治理结构的优化。
MEGA BidCo（要约人）表示，私有化后ESR将能在更灵活的环境下进行战略转型，提高决策及实施效率，并不受上市规则限制。此外，私有化还有助于公司股东名册的转化，吸引具有丰富专业知识和资本市场的经验的投资者，为ESR的长期发展提供支持。
目前，该提案已进入关键阶段，相关协议安排文件、购股权要约函件及奖励提案函件已于 2025年5月22日正式寄发给股东、购股权持有人及奖励持有人。
据了解，ESR已确定于2025年6月13日召开法院会议及股东特别大会，以审议并批准私有化提案及相关交易。要约人一致行动人士及契诺股东已承诺在会议上支持相关提案。
自去年5月传出ESR私有化消息后，历时半年，于去年12月才明确，由喜达屋资本集团、Sixth Street 和 SSW Partners牵头的财团拟通过协议安排将ESR私有化，提案对ESR的股权估值为552亿港元（71亿美元）。
现在，这家物流地产巨头的私有化进程终于取得决定性进展。当私有化协议尘埃落定，ESR也将完成从2016年合并成立到2025年退市的八年资本征程。
ESR内部人士向界面新闻表示，目前公司一切正常，很稳定，“资管方面还是一如既往。”
资本催化下的行业新贵：从扩张到亏损
ESR的前身是易商红木。2016年初，易商集团与红木集团在华平投资的强力撮合下宣布合并，ESR就此诞生。
这两大明星企业合并后，一路发展迅猛，初期公司估值突破30亿美元，2017年韩国最大企业集团之一SK控股集团注资后，估值更是攀升至34亿美元，迅速跻身行业头部阵营。
创始人团队包括：易商的创始人沈晋初曾执掌普洛斯中国，深谙本土市场开发之道；联合创始人孙冬平则在国内物流资产开发领域经验丰富；红木集团创始人Charles de PortesCharles de Portes 则拥有摩根士丹利的金融背景。
这家新集团合并了中日韩三国市场多项大型地产资产，旗下持有和在建的项目面积超过350万平方米，物流地产项目储备也增加至800万平方米。
这种跨地域、跨领域的经验融合，赋予了ESR资本运作天赋。而在资本的助推浪潮中，ESR也开启了收购扩张模式。
在2017-2019年的三年间，ESR发起多宗并购交易。从2017年收购 Nabinvest Oxley切入澳大利亚物流地产核心资产，到2018年并入Propertylink实现澳洲东海岸仓储网络的深度整合，再到2019年通过对多家区域性物流地产商的整合，完成资产版图的跨区域联动。
这一系列资本运作，使得ESR的资产管理规模从74亿美元迅猛攀升至202亿美元，实现了近三倍的爆发式增长。
扩张之后，ESR决定上市。2019 年，成立仅三年的ESR成功登陆港交所，IPO总额约126亿港元。这期间，中国零售和电子商务行业发展迅速，仓储物流需求日益旺盛，多方投资者纷纷看好ESR。
除华平投资持有39.89%的股份为其第一大股东外，还有韩国SK持股11.97%，京东物流集团持股8.56%，荷兰的基金会APG-Stichting持股7.80%，StepStone持股 2.52%，通用电气养老金信托持股1.40%，高盛持股1.94%。
然而，激进的步伐也埋下了隐患。上市第一年，尽管ESR的业务规模持续扩大，但其融资费用却同比激增 71.9%，高达1.8亿美元。2019年，公司还接连发行年利率分别高达6.75%和7.875%的高息票据。
ESR的高成本融资在经济上行期或许尚可维持，但随着市场环境的变化，逐渐成为其沉重的负担。截至2019年底，ESR的债务净额为16.87亿美元，但2018年底仅为8.79亿美元。
很快，全球宏观经济的变化又给ESR带来不少压力。近几年来，地缘政治紧张局势导致国际贸易受阻，中国经济复苏缓慢影响内需市场，都直接影响到物流地产行业的核心需求。与此同时，国内多个一、二线城市供应不断增加，也使得仓储物流市场整体空置率增加，租金开始走低。
到了2024年，ESR的业绩由此前的盈利直接进入亏损状态。根据3月25日发布的业绩公告，期内ESR录得净亏损7.623亿美元，而2023年同期录得净利润2.681亿美元。
ESR表示，由于公司继续在波动及不明朗的环境下经营，以实现其策略性业务重点，其不动产权益已受到过去数年累积的持续不利因素所带来的负面影响。
此外，开发项目动工率及核心交易活动不温不火、资金退出延迟及基金奖励费下跌、资产公允价值负向变动（包括非核心资产及近期资产出售产生的非现金亏损）以及资本循环速度低于历史平均水平，均对ESR集团于2024财政年度的盈利能力造成影响。
虽然近几年ESR总强调“新经济”，试图摆脱“地产”拖累，但结果似乎并不如意。而且，近两年，ESR股价表现也出现震动，多数时间徘徊在11-14港元之间，这一数字较2021年最高点下降60%。
现在，这个曾被热捧的资产范本，终于也走上了退市之路。
私有化，是破局重生还是无奈之举？
在业绩承压与行业变革的双重夹击下，私有化似乎成为ESR破局的必然选择。
私有化的传闻最早始于去年2月。当时，有知情者指出，ESR的主要股东们正考虑收购这家亚洲仓库开发商的可能性，甚至探讨将其私有化。
去年5月，据彭博新闻社报道，ESR已收到来自喜达屋、Sixth Street和SSW等投资者集团的第一轮非约束性有条件收购提议。
半年后，靴子落地。2024年12月4日，ESR发布公告，由喜达屋资本集团、Sixth Street和SSW Partners牵头的财团拟通过协议安排将公司私有化。除上述邀约方，参与的机构还有卡塔尔投资局（QIA）、华平投资以及公司创始人沈晋初等。
据了解，本次私有化对ESR的整体股权估值为552亿港元（71亿美元），比资本市场传言的70亿美元更高。ESR在去年11月29日停牌前的总市值约为485亿港元，私有化溢价约13.6%。
这将是自2021年以来港交所最大的私有化项目。
根据私有化提案，股东可以在三种方案中进行选择：以显著溢价将其投资全额变现（“现金选项”）；将其持有的公司股份转换为EquityCo2股份；或按其选择的比例结合这两种选项。
截至2024年12月4日，财团已收到占无利害关系股东所持有的协议安排股份51.2%的股东的不可撤销承诺（“IUs”），以支持提案，这些股东包括安大略市级雇员退休系统、林惠璋先生、APG、海峡贸易和三井住友银行。
今年5月15日，ESR发布公告，宣布私有化进程取得决定性进展。ESR已获得包括英国金融行为管理局、新西兰海外投资办公室、证监会、新加坡金融管理局、根西岛金融服务委员会及韩国公平交易委员会的必要批准，因此该等先决条件已达成。
5月21日，ESR再宣布，提案已进入关键阶段，相关协议安排文件、购股权要约函件及奖励提案函件将于2025年5月22日正式寄发给股东、购股权持有人及奖励持有人。
根据公告，私有化提案的预期时间表已明确。从2025年5月22日寄发相关文件开始，至2025年7月10日或之前完成现金权利支票的寄发及电子股票的发送，整个私有化过程预计将在未来几个月内完成。
其中，关键的生效日期预计为2025年6月30日（开曼群岛时间），届时公司将正式从香港联合交易所有限公司退市。
汇生国际资本行政总裁黄立冲告诉界面新闻，ESR私有化，意味着传统模式估值失效，“ESR股价较2021年峰值跌60%，私有化有助于摆脱短期业绩压力。”
当然，ESR 的私有化，不仅是企业自身的战略自救，也折射出行业的深层变革。当前，不动产管理行业正面临竞争加剧、技术变革等多重挑战。而且，行业竞争日趋激烈，头部企业纷纷加大技术投入，提升运营效率。
在此背景下，私有化或成为企业避开资本市场“短视审判”，进行战略调整的重要手段。对于ESR而言，私有化后，将脱离公开市场的短期业绩考核与股价波动干扰，能够更专注于长期战略调整。
2025年以来，港股市场私有化案例频频出现。据统计，截至目前已有超过10家港股上市公司披露私有化相关事宜，且多数私有化公司都存在交易不活跃、流动性偏低等问题。
不过，私有化后的ESR又将踏入另一个战场，在复杂多变的市场环境与激烈的行业竞争下，其未来发展依然面临严峻考验。
截至2024年底，ESR管理费收入相关资产管理规模714亿美元，其中中国内地占101亿美元，欧洲及英国占124亿美元。总资产管理规模1417亿美元，建筑面积4700万平方米。

Yes and no. You can have more than one wallet used for SENDING zaps, because that is set up separately for each client you use. However, you can only have one wallet at a time for RECEIV8NG, because that is set up in your profile, so anyone can zap you, regardless of which client you are using.

You are correct, I just really don't think we are going do get smarter because of AI, I think as humans generally do, we will try to offload everything we can onto it so we can sit on the couch and watch TV or play video games or something.

I’m working on trying to make a video player as a TUI with real video, not ASCII videos here. I’ve got a very rough prototype working that prints the controls and time elapsed. The plan is to allow jellyfin and YouTube streaming along side local videos. I hope to have enough done in time for the TUI challenge for ya fellas!
