2025.05.21
5月21日，上交所发布关于试点公司债券续发行和资产支持证券扩募业务有关事项的通知。
为规范公司债券（含企业债券，下同）续发行和资产支持证券扩募业务活动，满足市场主体合理融资需求，进一步提升债券市场流动性，上海证券交易所（以下简称本所）就试点开展公司债券续发行和资产支持证券扩募发行业务有关安排通知如下：
一、本通知所称公司债券续发行，是指已在本所上市挂牌的存量公司债券的发行人进行增量发行并将增量发行债券与存量债券合并上市挂牌。
本通知所称资产支持证券扩募，是指计划管理人对在本所挂牌的存量持有型不动产资产支持证券进行扩募发行并且合并挂牌。扩募发行不涉及设立新的资产支持专项计划。
合并上市挂牌后，存量公司债券、资产支持证券的还本付息、收益分配等发行条款和持有人会议、受托管理、违约责任与争议解决等投资者权益保护相关安排原则上保持不变。公司债券发行人、计划管理人应当确保原持有人和新加入的持有人按照募集说明书、计划说明书和相关协议的约定平等享有权利、履行义务。
二、发行人可以使用有效期内的公开发行注册文件或者非公开发行无异议函向本所申请发行备案，参与续发行业务。没有符合规定的注册文件或者无异议函的，应当依照《上海证券交易所公司债券发行上市审核规则》等有关规定，向本所提交发行上市审核或者挂牌条件确认申请。
发行上市审核、挂牌条件确认以及公司债券的发行备案具体事宜，适用本所现行业务规则的规定，本通知另有规定的除外。
三、存量公司债券附有担保条款的，发行人应当在实施续发行前对担保机制的变更做出妥善安排，切实保障持有人的合法权益。
续发行可能导致偿债保障措施发生重大变化的，发行人应当在申请发行备案前召集债券持有人会议，审议续发行事项，并在备案申请文件中披露审议结果，向本所提交债券持有人会议决议文件和担保主体同意变更担保的文件。发行人计划12个月就同一存量公司债券实施多次续发行的，可以在首次续发行前提请债券持有人会议集中审议续发行计划，但应当针对全部续发行事项提前落实担保措施变更安排。
发行人新申报发行上市审核或者挂牌条件确认，且申报时有明确续发行计划的，应当参照前款规定在申报环节进行披露、提交相关文件。发行人可以在募集说明书中约定，投资者认购或者通过二级市场交易等方式取得该公司债券视为同意发行人的续发行安排。
主承销商、发行人律师应当就续发行的合规性和担保措施的变更情况进行核查，并发表明确核查意见。
四、合并上市挂牌首日，续发行公司债券的证券代码、证券简称、证券全称、起息日、付息日、到期日、面值、票面利率和特殊条款等基本信息，均应当与存量债券保持一致。
发行人确需变更前款规定的债券基本信息的，应当经债券持有人会议审议或者履行其他规定程序后，在申请续发行备案前先行对存量债券相应基本信息予以变更。
五、公司债券续发行前，发行人、主承销商应当不晚于发行文件公告日前一个交易日10:00前向本所提交募集说明书等发行备案文件。
完成发行备案后，发行人、主承销商应当按规定履行发行前、发行后的信息披露义务，按照本所业务规则的规定组织发行。
六、发行人、主承销商应当按照价格定价的方式确定续发行的发行价格。发行人应当在发行公告中详细披露发行价格的确定原则和确定方式。
七、发行人应当严格按照募集说明书的约定和有关规定使用续发行公司债券募集资金。
变更募集资金用途，且可能对发行和上市挂牌条件产生重大影响的，发行人应当依法履行债券持有人会议决议程序，发行人、主承销商应当在期后事项说明中说明具体情况、原因及相应的中介机构补充核查意见等。
八、续发行公司债券的登记和上市挂牌流程适用本所和中国证券登记结算有限责任公司的登记和上市申请文件一站式递交服务安排，由本所统一受理。具体办理要求按照本所和中国证券登记结算有限责任公司的相关规定执行。
九、公司债券续发行后符合基准做市品种条件的，可以纳入公司债券基准做市品种范围。
十、资产支持证券扩募事宜，参照适用本通知关于公司债券续发行的规定。
计划管理人应当召开持有人会议对扩募发行事项进行审议，并按本所业务规则的规定向本所提交挂牌条件确认申请及持有人会议决议文件。计划管理人和律师应当就持有人会议审议情况进行核查并发表明确意见。
十一、发行人、主承销商、受托管理人、计划管理人、律师事务所等主体应当按照法律法规、本所业务规则和本通知的规定，诚实守信，严格履行信息披露义务。违反本所业务规则和本通知的，本所可以依照规定对其实施纪律处分或者监管措施。
十二、本通知未尽事宜，按照本所相关业务规则执行。
十三、本通知自发布之日起施行。

Correct, it has to verify every transaction.
The moment it reads the OP_RETURN byte it sees the transaction as valid and the UTXO unspendable. It doesn’t read the arbitrary data afterwards because it doesn’t need to and can prune the output immediately.
Honestly, I think my node has to do more work verifying a stranger’s multisig spend than some op_return bible verse
