居然之家之后，又一知名家居企业创始人被留置。
5月13日晚间，红星美凯龙家居集团股份有限公司（下称“红星美凯龙”）发布公告，披露董事兼总经理车建兴被云南省监察委员会立案调查并实施留置措施。
公告显示，红星美凯龙接到公司董事车建兴家属的通知，于近日收到云南省监察委员会电话通知，对车建兴立案调查并实施留置措施。
截至目前，红星美凯龙尚未收到任何书面形式《留置通知书》《立案通知书》，亦未收到云南省监察委员会需要协助调查或提供任何资料的要求。
红星美凯龙在公告中表示，公司其他董事、监事和高级管理人员均正常履职，公司组织架构及内部控制机制完善，公司董事会运作正常。公司控制权未发生变化。同时，为保证公司日常经营工作顺利进行，由董事长李玉鹏在此期间代行总经理全部职责。
对于车建兴被留置的原因，目前尚无定论。红星美凯龙方面向界面新闻表示，一切以公告为准，没有其他信息可告知。
厦门国资房企建发股份（600153.SH）“入主”以来，“中国最大家居卖场”红星美凯龙的一举一动都备受关注。
此前不久，红星美凯龙原执行总裁高爽职务侵占案也迎来终审判决。
根据近日中国裁判文书网公开的《谢某、高某职务侵占罪二审刑事裁定书》显示，高爽因在公司业务中通过虚增服务费非法侵占公司资金，数额巨大，被重庆市第一中级人民法院判处有期徒刑三年，缓刑五年，并处罚金二十万元。
该起事件要从2021年7月说起，当时，重庆市璧山区一TOD大型城市综合体项目举行开工仪式。参加这场仪式的就有高爽。也是因为这个项目，在时隔两年后，高爽因涉嫌犯职务侵占罪，于2023年5月25日被刑事拘留。
根据最新披露，2021年，红星美凯龙控股股东红星控股与重庆璧山区政府签订1亿美元外资投资协议，高爽作为时任执行总裁，受时任红星美凯龙董事长车建兴委托，全权负责外资引入工作。
据了解，在此期间，高爽经同事谢某介绍结识中间人袁某，在知晓袁某要求的业务费用低于其他资方报价后，高爽与谢某等人私下商议，与袁某约定：在红星美凯龙按13%（390万美元）支付服务费给袁某后，袁某将其中3%（90万美元，折合人民币501万元，扣除税费等）返还给高爽等人。
高爽与谢某达成七三分成协议，最终高爽分得349.3万元人民币。案发后，高爽于2023年5月24日被抓获，次日刑事拘留，6月30日被逮捕，7月7日取保候审。
值得一提的是，时任红星美凯龙董事长、原实际控制人车建兴的口供成为关键证词。
在审理过程中，高爽的辩护人提出，高爽增加3%服务费作为奖励获得了时任董事长车建兴的同意，主观上不具有非法占有公司财物的目的，且公司未遭受财产损失。
但法院查明，尽管车建兴最初签署情况说明称“口头同意3%奖励”，但随后又自愿出具情况说明否认这一说法，在司法机关介入后的询问中，车建兴均坚持称从未同意给予高爽3%的奖励。
最终，高爽在案发后认罪认罚，主动退还349.3万元，谢某主动退还151.7万元。审理认为，高爽、谢某采取此种反常方式获取资金，真实目的是规避调查、掩盖罪行。
如今，红星美凯龙董事兼总经理车建兴又被立案调查并实施留置措施，让这家“家居巨头”雪上加霜。
车建兴作为红星美凯龙创始人，在业内最广为流传的故事是，他凭借的600块钱创业变成身家400亿元的家居首富。
他用了30余年才将红星美凯龙发展为中国家居零售行业龙头企业，一路经历了从常州红星家具城到红星家具集团有限公司再到红星美凯龙家居家饰品有限公司的蜕变。
2015年，红星美凯龙在香港成功上市，三年后的2018年又在 A 股上市，成为家居行业首个“A+H”股。
上市之后，红星美凯龙在资本市场也曾风光无限，两股总市值最高超过千亿元。车建兴的身家也水涨船高，2020年一度高达430亿元，成为江苏常州首富和行业首富。
顶峰时期，红星美凯龙商场数量曾达到256家，甚至超过彼时的万达，总资产达到千亿规模，被称为全球“MALL王”。
只可惜好景不长，“复合地产”模式在家居行业并不容易长久，叠加房地产行业近几年面临深度调整，四处拿地扩张的红星美凯龙很快就陷入了困局。
2023年，车建兴等来了“白衣骑士”建发股份。当时，红星美凯龙实控人车建兴及其关联方正面临着流动性困境，为化解债务压力不得不选择股权转让。
最终，厦门国资旗下建发股份通过市场化方式入主，以62.86亿元现金对价收购美凯龙29.95%的股份，从而成为控股股东。至此，厦门市国资委正式成为美凯龙实际控制人。
随后，车建兴辞去董事长职务，退居第二大股东席位，担任董事兼总经理一职。
建发股份的入局，本就被市场寄予厚望，期待其能凭借强大的资源整合能力与资金实力，助力红星美凯龙走出困境。但事与愿违，建发股份入主后的红星美凯龙经营状况不仅未见好转，反而陷入持续亏损的泥沼。
从财报数据来看，2023年公司营收约115亿元，同比下滑18%，归母净利润亏损22.16亿元；2024年，营收进一步跌至78.21亿元，同比再降32.1%，归母净亏损扩大至29.83亿元，两年累计亏损近52亿元，几乎耗尽此前三年盈利总和 。
业内对此戏称，红星美凯龙拖累了“金主”。
今年一季度，情况依然不乐观。业绩数据显示，截至2025年3月31日，红星美凯龙取得营业收入12.47亿元，同比减少16.4%；毛利率69.1%，同比减少3.0个百分点。
建发股份在业绩公告中表示，由于投资性房地产的公允价值变动损失增加，综合导致红星美凯龙的归母净利润为-5.82亿元，为建发股份合并报表贡献的归母净利润为-1.72 亿元。
资金链压力更是与日俱增。截至2024年末，美凯龙资产负债率同比走高达57.4%，总负债达667.16亿元。另据天眼查显示，公司有不少资产被抵押或冻结限制，也会加剧融资困境。
高爽一案本就让市场对红星美凯龙内部控制体系产生疑虑，此次车建兴被留置，是否会牵出更多内部问题，也备受关注。后续车建兴的调查进展、公司如何重塑市场信心，都将成为影响企业未来走向的关键因素。
虽然红星美凯龙当前的处境有其自身不可推卸的责任，但行业大环境的影响也不能忽视。家居零售市场近年来竞争激烈程度达到白热化，消费需求与商业模式正经历深刻变革。这期间，大部分家居企业都面临较大挑战，出现营收与净利润双下滑的局面。
除红星美凯龙原执行总裁高爽被判职务侵占罪、创始人车建兴被留置，前不久还有好不容易坐上“行业一哥”位置的居然智家实控人、董事长兼CEO汪林朋被留置。
业内人士认为，这类情况频繁发生，开始为行业敲响警钟，企业只有加强内部治理，规范经营行为，提升自身抗风险能力，才能在复杂多变的市场环境中实现可持续发展。

4年前，在欧洲律所从事法律服务的万杨回国来到上海北外滩，成为一名涉外律师。法律服务港开港后，她有了一个新身份——“企业出海管家”。她介绍称，白玉兰广场8楼是法律服务港，客户可以从8楼直接到15楼华商律所和涉外律师讨论法律服务方案，再去一街之隔的新华保险大厦与物流企业商议跨境物流和仓储方案，沿着滨江绿道再走200米，就能找到中国建设银行北外滩支行了解跨境融资、出海投资开户等问题。
高度集聚的出海服务，背后是北外滩产业新格局的重塑。
2020年起，北外滩开启了新一轮规划建设。该区域与陆家嘴隔江相望，南邻外滩，三者构成“浦江金三角”。北外滩拥有目前上海中心城区唯一一块可成片规划、深度开发的黄金地段。其840万平方米的总建设体量，是上海继1990年陆家嘴建设开发之后，最大规模的城市发展规划。
北外滩新一轮建设发展的根本目标在于区域功能和产业能级的提升。
为此，虹口区制定了“三年出形象、五年塑功能、十年基本建成”的发展目标，将北外滩定位为“新时代都市发展新标杆”和上海“中心辐射”新引擎。
新一轮规划给北外滩开发建设按下了加速键。
虹口区委书记李谦披露了一组数据：五年来，北外滩累计开竣工重大建设工程46个、总体量超过300万方，引进亿元以上重大投资项目335个、总投资超过3000亿元。
总结北外滩过去五年的发展，上海市规划资源局局长张玉鑫认为，北外滩已逐步构建了具有创新特点、时代特征的现代化产业体系，全球水平的航运、金融等现代服务业生态培育成效明显。
据李谦介绍，五年来北外滩集聚港航企业4700余家，运力占全市近七成；集聚各类金融机构2100余家，做大财富管理特色，资产管理规模超8万亿，入选上海市首批股权投资集聚区。
当前，北外滩航运和金融产业区域贡献超45%。
从国际影响力来看，北外滩先后引入荷兰全球人寿、法国东方汇理、德国汉宏物流、阿联酋博禄、日本商船三井等知名跨国公司，2024年全区实到外资增长35.8%。
北外滩的快速发展对整个虹口起到了辐射带动效应。虹口区一般公共预算收入五年年均增长12.3%，2024年全区GDP增长8.2%。去年，虹口区GDP、规上工业、服务业、实到外资、出口等指标增幅均位居全市前列，今年一季度GDP又接续增长7.8%，以占全市0.3%的面积，贡献了超3%的经济总量。
当下，北外滩的发展也面临挑战。
虹口区委常委、副区长吴伟平指出，从宏观经济形势来看，房地产市场，尤其是商办市场形势正在逐步回暖，但各类市场主体的投资信心和热情还需进一步激发，财政和企业的投资需求还有待加大。
“未来五年，北外滩怎么建设、怎么发展，我理解将是‘长个子’‘壮筋骨’的关键时期。”李谦说。过去五年是北外滩城市建设施工的加速期，未来五年，北外滩将转向塑造核心功能的转型提升期，这个转型提升既包括速度的提升，也包括经济体量的扩大，更要有新旧动能的转换。
当前，北外滩已完成从货物吞吐作业码头向航贸战略节点以及国际邮轮旅游母港的转变。虹口区委副书记、区长吕鸣表示，当前北外滩正在塑造“多港并进”的功能矩阵，要成为服务贸易港、科技创新港、总部经济港和国际活力港。
他透露，北外滩将推动航运延链升级，聚焦航运金融、船舶管理、海事仲裁等高端航运服务攻坚突破，推动航运“数字化、智能化、绿色化”转型。
同时，北外滩将推动金融夯基拓能，继续深耕资管财富特色赛道，大力引进持牌机构，发展金融科技，吸引更多VC、PE、AMC机构服务科技创新、实体经济和绿色低碳。
吕鸣说，当前北外滩正全力建设股权投资集聚区，筹划并购资源集聚区，未来将重点聚焦“两个一公里”，引导金融活水持续激发科创活力、服务实体经济。
一是创新孵化的“最先一公里”——发展风险资本、壮大耐心资本，引导投早、投小、投长期、投硬科技；“北外滩投资路演中心”接续服务科技创新全链条，推动科技成果加速转化和产业化；二是企业上市“最后一公里”——统筹上市和融资两个服务中心，助力科创企业提级扩容，博泰、数传等企业已启动上市。此外，虹口区通过府院合作，政企协同，以市场化方式创新设立企业庭外重组中心，有效衔接庭内重整，介入困境企业救助，服务特殊资产市场。
科创是北外滩接下来的发力点之一。
虹口区内和周边有不少大学大院大所等科技创新资源，同时，一大批专注天使阶段、成长阶段的各类基金在虹口区涌现，具有特色和集聚的法律服务业也将助力科技创新加速发展。 D·Transformer、天工开物等专业孵化器，瑞虹天地、滨港中心等特色载体相继投用，初步形成从概念验证、中试熟化、专业孵化、企业加速到产业发展的全过程创新链条。
吕鸣表示，目前虹口区科技服务业规模已超700亿元，占全市比重达13%。这五年内，新增独角兽企业3家、科技小巨人企业24家，集聚专精特新企业234家、高新技术企业407家。
此前，虹口区规划与自然资源局副局长孙懿俊曾对界面新闻透露，北外滩规划了研发用地的出让。“相比商用用地，研发用地的出让价格较低，区委区政府计划在未来的产业布局一些土地，用于产业建设。”李谦在会上表示，在科创空间上，北外滩将因地制宜构建“创新圈+孵化带+应用层”深度融合的科创生态；在重点方向上，立足虹口特色，聚力推动科技成果转化、科技服务业发展和科创总部集聚，实现城区科创浓度的提升。
